APPROVAL OF SIARSHOLDERS BY WRITTEN CONSENT.
Know all men by these presents:
That we, the undersigned, the president and
secretary respectively of the Grass Valloy Hardware
Company, do hereby certify as follows:
That Grass Valley Hardware Company is a
corporation duly organiged and existing under and by
virtue of the Laws of the state of California;
That a special meeting of the board of
directors of said Grass Valley Nardware Company was
duly held on the 1Oth dey of September , 1949.» ab

Wevada, State of Galizornia, at which said nesting the
entire board of directora of sald corporation was present;
