PIFTHs That said corporation does not contemplate the distribution of gains,
profits or dividends to the members thereof >
SIXTH: That said corporation shall have no capital or capital stock and that the
property of this corporation is irrevocably dedicated to charitable and
civic purposes, and upon the abandonment, liquidation or dissolution
of the corporation, said property shall not inure to the benefit of any
private person but shall be distributed to a nonprofit corporation,
having similar objects and purposes, and which shall be designated by a
court of competent jurisdiction.
SEVENTH: That all income and profits of said corporation shall be expended in
carrying out its objects and purposes aforesaid.
EIGHTH: THat these articles of incorporation are for the purpose of incorporating
an existing unincorporated:association known as NGRASS VALLEY JUNIOR
CHAMBER OF COMMERCE".
NINTH: That the powers, duties, obligations, limitations and restrictions of
the board of Directos and members of said corporation shall be set out
in the corporation by-laws.
IN WITNESS WHEREOF, for the purpose of forming this corporation under the
laws of the State of California, We, the undersigned, constituting the President
and Secretary of said unincorporated association, by the authority of the
association, have hereunto set our hands and seal in Nevada Couhhy, State of
