The undexsigned are a majority of the authorized number of directors
of GRASS VALLEY MEAT CO., a California corporation, and state that:
(a) The corporation has been completely wound up;
(b) The known debts and liabilities of sald corporation hove’ baile
paid as far as its assets permitted, and liability for ali accrued or secruing
franchise taxes and delinquent charges thereon, if any, has been personally
assumed by JOE DILLIER, one of the shareholders of said corporation; and that
a Tax Clearance Certificate was issued by the Franchise Tax Board, State of
Galifornia, under date of December 5, 1960.
(ce) The known assets of said corporation have been wholly applied
on account of its debts and liabilities.
