telegram so'that Mr. Hinds arrived
in this city last evening. Hoe has
made. you a proposition in writing.
Allow.us ta say to you all that we

and carefully examine the assets and
liabilities of the late Bank, to weigh
with care every proposition and suggestion that has been made, that has

Judge Searls as assignee, what could
be realized by forcing the concern

eould by suit against the sdlvent

that we reached in any of the propositions herétofore advanced do not

$100,000, to be first accepted by

before the new stock issues.

the present indebtedness in San
Fravcisco=that is, all notes—of the
late Bank of Nevada County, and
will immediately retarn to the officers
of the new Bank, for is use and account, the said securities. I will
also require the present Stockholders to take new stock, and the same
amouut for all moneys that they
have advanced or shall advance in
redeeming all of the said securities,
as the other Creditors of the old concern, to:wit, one-half: Infact, the
money they have paid vut and the
balance they will be required to pay
out to redeem the said securit:es,
as the other Creditors. I will have
all of the said securities in the vault
of the new Bank, within thirty days
of the time itis opened, and I will
open the new Bank within five days
of the time all the Creditors place
their demands in the hands of the
said Committee, to act for them.
Ninth. If the Books of the late
Bauk show that any Creditor or
Creditors have been paid, or it can
be satisfactorily proven, I will use
my best endeavors to heve the money returned tothe new Bank, that
‘wil shull be treated alike--that is,
since the day the property -wag assigned to the Hon. Niles Searle, ad
Assignee of the late Bank of Nevada
County.
Tenth. I am personally responaible for all the acts and transactions
that I did during the time I was
connected with the late Bank of Nevada County, if it oan be shown that
they were not honorable trausactions.
Creditors, if my proposition is accepted, I will do my best ‘to make
the Bank a paying one, and J have
not the least doubt, in fact I am certain it can be done,

To the Hon. Board of Supervisors
of Nevada County.
Gentlemen :—With a view to com:
promise the existing controversies
between the Central Pacific Railroud
Company and the People of the
State, Tax Cvollecter, and Nevada
County, in respect to unpaid taxes
agaiust said Company, for the fiscal
year 18;2-3 and all actions and litigation pending or proposed in re.
spect thereto, and . all matters of
costs incident to said litigation, the
said Central Pacific Railroad Company hereby propose to pay into the
Treasury of Nevada County, in United States Gold Coin, the sum of
$4,921,30-100, and into the District
Court of the Sixth Judicial District
of the Stute of Culifornia, thesum of
$2,;236.95-100, insatisfaction and
discharge of all damages for taxes,
per. centage and costs involved in
suid litigation, or claimed to be due
from said Company tothe People-of
the State or said County, for the
year aforesaid: ;
It being understood as a part of
this proposition, that all pending
litigation in respect to the matters
aforesaid in whatever Courts the
same may be, shall be discontinued
and dismissed, without costs of either party being taxed therein, und
that the Counsel for the respective
parties to such litigation shall
promptly file their stipulations’ in
such actions for the dismissal and
discontinuance thereof, apon the
p terms aforesaid: And that this settlement a'd compromise: shall be in
fall satisfaction of said matters, and
abar to any and all actions that
might be hereafter prosecuted on
account of the same, or fur any damages or costs that might be claimed
or founded thereupon. _

taxes in the Counties of Placer and
Nevada,’’ passed by the Legislature

of Supervisors of Nevada County,
in regular session; all being present,

as follows: That a copy of this order
and tho written proposal of the Central Pacific Railroad Company, shall
be submitted to the Attorney Generalof the State.of Ualifernia for his+
approval, and after his approval
and assent thereto shall have been
obtained, then upon payment made
by the Central Pacific Railroad Co.,
of $4,921 30-100 in Geld Coin of the
United States, to the District Attorney of Nevada County, who is hereby appointed to receive the same
