CERTIFICATE OF ELECTION TO WIND UP AND DISSOLVE GRASS VALLEY REAL ESTATE AND IMPROVEMENT COMPANY, a California corporation. We, the undersigned, C,. R. CLINCH, being tho President, and DOWNEY C. CLINCH, being the Secretary of GRASS VALLEY REAL ESTATE AND IMPROVEMENT COMPANY, a corporation organized and existing under the laws of the Stato of California, HEREBY CERTIFY: That on the 2nd day of _ November , Lone, there was filed with said corporation, and with the Secretary thereof, a written Consent of the owners and holders of shares representing more than fifty per cent (50%) of the voting power of said corporation, stating that said corporation has elected to wind up its affairs and voluntarily dissolve; and that such written consent was so signed, executed, and filed by the shareholders holding and owning twenty-five hundred (2500) shares of the capital stock of said corporation, being all of the issued and outstanding capital stock of said corporation; that by reason of said consent and action of its sharcholders, seid corporation has elected to wind up and dissolve.
