Mill, Grass Valley, California FIFTH; That said camponetae does not contemplate the distribution of gains, profits, or dividends to the members thereof. SIXTH: That said corporation shall have no capital or capital stock. SEVENTH: That the name of the existing unincorporated association, which is being incorporated as aforesaid, is "Grass Valley Sportsman Club." BIGHTH: That the members of said corvoration shall be the present members in good standing of said unincorporated association; that the membership shall be limited to such number of members as is now provided by the By-Laws of said unincorporat— ed association or to such number as may hereafter be provided by the By-Laws of said corporation. The vight to inerease or reduce the number of members is reserved to the members of said corporation by amendment of said By-Laws in the manner therein provided. The existing By-Laws of said unincorporated association are hereby adopted as the By-Laws of said corporation, subject to the right to amend same in the manner therein provided. NINTH: That all income and profits of said corporation shall be expended in carrying out its objects and purposes aforesaid; and, in the event of its dissolution, all its assets shall be distributed and delivered to a nonprofit social corporation, having similar objects and purposes, and which shall be designated by a court of competent jurisdiction. ain:.
