t 3 g. For any or all of the purposes of the Savings and Loan Association Law of the State of California, and all of the rights, powers, privileges and immunities provided by such law for a savings and loan association. The foregoing statement of purposes shall be construed as a statement of both purposes and powers and the purposes and powers in each clause shall, except where otherwise expressed, be in no way limited or restricted by reference to or inference from the terms and provisions of any other clause, but shall be regarded as independent purposes and powers. THIRD: That the place where the principal business of said Association is to be transacted is the County of Los Angeles, State of California. : FOURTH: That this corporation shall have perpetual existence. FIFTH: a. That the number of directors of said corporation shall not be less than nine nor more than twelve. The exact number of directors shall be fixed from time to time, within the limits specified in these articles of incorporation or a controlling by-law, by a duly adopted by-law amendment. b. That the names and residences of the directors who were appointed for the first year to serve until the election and qualification of their successors were as follows: Names Residences W. M. Sontheimer San Jose, California J. Q. Patton San Jose, California S. E. Johnson Cupertino, California U. A. Sontheimer San Jose, California H. S. Kittredge San Jose, California SIXTH: That said corporation is authorized to issue 1,000,000 shares of Guarantee Stock without par value. The proceeds from the sale of Guarantee Stock, when issued shall be set apart, to the extent of $1,677 per share, as a fixed and permanent capital.
