THIS AGREEMENT is made as of this 18th day of guhe”
1974, by and between FIRST CITY SAVINGS AND LOAN ASSOCIATION
(herein "Pirst City"), and GREAT WESTERN SAVINGS AND LOAN
ASSOCIATION (hereinafter "Great Western"), for the merger of
First City with and into GREAT WESTERN:

WHEREAS, Great Western is a corporation organized under
the laws of the State of California, having been incorporated
in 1919, has issued and outstanding 6,074 shares of its
Guarantee Stock, WieHoue par value, and all of the shares
are owned by Great Western Financial Corporation; and

WHEREAS, First City is a corporation organized under the
laws of the State of California, having been incorporated in
1954 and has issued and outstanding 100,000.shares of
Guarantee Stock, without par value, 98.675% of which is
owned by Great Western Financial Corporation, and;
WHEREAS, First City and Great Western are each duly
licensed to conduct and are conducting a savings and loan
business in the State of California; and
WHEREAS, First City and Great Western deem it to be in
the best interests of their respective corporations, stockholders and investment certificate holders that Fimst City
be merged with and into Great Western; and
WHEREAS, this Agreement is entered into by the parties
hereto upon the representations by each association that its
respective assets, liabilities and income are reflected in
its respective Statement of Condition as of March 31, 1974,
copies of which statements heretofore have been delivered to
the other.
