ARTICLE 1 PLAN OF REORGANIZARION Section 1.01. Plan Adopted, A plan of reorganization Of VISALIA and GUARANTEE, DOL suaie to the provieions of Sections 9200-9218 of the California Financia]. Code and Sections 4]00S235 22S appiieabiey of the California Corporations Code, and Section 368 {a) (1) (A) of the Internal Revenue, is adopted as follows: (a) VISALIA shall be merged with and into GUARANTEE, to exist and be governed by the laws of the State of California. (b) The name of the surviving corporation shall be: GUARANTEE SAVINGS AND LOAN ASSOCIATION. The location of the’ home office of the surviving corporation shall be: 1177 Fulton Mall; Fresno, California, 93721. (c) The separate existence of the constituent corporations Shall cease and the surviving corporation shall succeed, without other transfer, to all the rights and property of each of the constituent corporations, and shall be subject tO-all the debits and liabilities of each, in the same manner as if the surviving corporation had itself incurred them. All rights of creditors and all liens upon the property of each constituent corporation shall be preserved unimpaired, limited in lien to the property affected by such liens immediately prior to the merger. .
