"Gentlemen: Your President and Secretary to whom there has
been entrusted the matter of designating a Trustee in whose favor
there shall be executed a first mortgage upon the properties of the
Corporation to secure the Hanae indebtedness heretofore voted by the
Directors of this Corporation and which said action of theDirectors
has received thefavorable assent and approval in writing of the
‘stockholders appearing upon the books of this Corporation as the nolders Of more than two-thirds of its subscribed capital stock, and to
whom there has been further entrusted the matter of determining upon
the number of said bonds and their respective amounts, do hereby report as follows:
"We recommend that the Trustee in whose favor said mortgage
shall be made end to whom the same shall be executed and delivered
shall be the United States Mortgage & Trust Company, a corporation,.
organized and existing under the laws of the State of New York and
having its principal office in the City of New York, State of New York,
"We further recommend that said bonded indebtedness, agpre.
gating fifty thousand dollars be represented by fifty bonds of this
Corporation of the denomination of one thousand dollars each.
Respectfully submitted,"

Thereupon Director Edward I, Wolfe read the preambles and
resolutions which are setforth and embodied in Exhibit A hereunto annexed and moved the adoption thereof,
The motion to adopt said resolutionswas seconded by Director
George Parker and upon being put to a vote, said resolutions were and each
of them was so adopted by the unanimous vote of the Board of Directors
of the Gold Flat Consolidated Quartz Mining Company and the voteor
every member of said Board of Directors, all of which appears of record
