CERTIFICATE OF INCORPORATION OF J. HOFERT CO, THIS IS TO CERTIFY that we, LEO C. ZUCKER, FLORENCE G. WELT, SYLVIA L. MASLOW and RUTH JOHNSON, do hereby associate ourselves into a corporation under and by virtue of Title 14 of the Revised Statutes and do severally agree to take the number of shares of capital stock set opposite our respective names, (a) The name of the corporation is J. HOFERT CO, (b) The location of the principal office in this State is at Suite #1221, 744 Broad Street, in the City of Newark, County of Essex and State of New Jersey. (c) The name of the agent therein and in charge thereof, upon whom process against this corporation may be served, is David Stoffer. (d) The objects for which this corporation is formed ares (1) To produce, purchase, prepare for the market, ship, sell, distribute and deal in and with all kinds of (a) natural or artificial Christmas trees, decorative greens, and electrical and other decorations or devices: (b) timber.and the products thereof; (c) other products of the forests and the soil. (2) To acquire, lease, establish, maintain and operate such plants, buildings, and offices necessary or incidental to the businoss of this corporation as the Board of Directors may from time to time determine. ; (3) To enter into, make, perform and carry out contracts of every kind which may bo necessary or convenient for tho business of this corporation with any person, firm, association or corporation, municipality, county, state, territory, government or other municipal or governmontal subdivision.
