HVELOPMENT COMPANY, a corporation existing under the laws of the State of Delaware, parties of the first part, AWD &. GC. SLATER, A. L. CAMPBELL and D>. P. VENZELBURGI, constituting all of the Directors of the ANNEX MINING coMpAny, a coxporation existing under the laws of the State of Delaware, parties of the second parte WHER Bas 1S the said HOGH DE VRLOPWS ‘eh COME PANY and the ANNEX LINING COMPANY are corporations existing under the laws of the State of Delaware; and UHERELS fox the purpose of greater efficiency and economy, as well as for the general wolfare of the said companies, i% has been deemed advisable by the stockholders and directors of each of the said companies to merge and consolidate them, under and in pursuance of an Act entitled “in Act providing a General Corporation Law,” approved Mareh 10, 1899, and the Acts amendatory thereof and supplemental thereto; and WHERRAS the parties of the first and second parts hereto, constituting more than a majority of the said Directors of the said Gompanies, have agreed as to the terms and conditions of consolidation, as herein set forthe.
