NOW, THEREFORE, IN CONSIDERATION CF TEE PREMISES AND OF
THE MUTUAL AGREEMINTS, COVENANTS AND ~ROVISIONS HEREIN CONTAINED»
IT IS HEREBY COVENANTED AND AGREED BY AND BETWEEN THE PARTIES
HERETO, AS FOLLOWS:
That the said HOGE DEVELOPMENT COMPANY and the Alvix
MINING COMPANY do, by these presents, CONSOLIDATE, MERGE JD
COMBING their respective capital and subscriptions thereto, and
all and singular the rights, privileges, powers and franchises,
as well of a public as of a private nature, of each of said
corporations into 4 single and new corporation, to be ealled and
known by the corporate name and style of HoGu DEVELOPMENT
GOMPANY, which said new corporation shall heneeforth have and
possess all and singular the rights, privileges, powers and
franchises, as well of a public as a private nature, of each
of the said corporations, and shell be subject to all the
restrictions, disabilities and duties of each of said corporations so consolidated, and all property, real, personal and
mixed, and all debits due on whatever account, us well for stock
subseriptions as all other things in action or belonging to
each of the said corporations, and all property, rights,
privileges, powers and franchises, and ell and every other interes’
belonging to either of said eorporations shall be thereafter as
effectively the property of the said new corporation as they
gere of the several and respective former corporations.
And the said parties hereto have agreed upon, and by
these presents do agree upon and prescribe the following as
the toms and conditions of said consolidation, and the mode of
carrying the same into effect, which texms and conditions the
said parties hereto severally covenant, promise and agree to
observe, keep and perform:.
