ARTICLE IX. This corporation shall have the power to conduct business in all its branches and have one or more offices in the State of Nevada, as well as other offices in any or all of the states or territories of the United States and in all foreign countries, in furtherance and not in limitation of the powers gvanted by atatute, the Board of Directors are expressly authorigeds i» fo determine, from time to time, when and under what regulations and conditions the accounts and books of the corporation, (except the stock books and stock and transfer books) or any of them, shall’ be open to the inspection of the stockholders and the stockholders! rights in this respect shall be limited accordingly, in so far as the laws of the State of Nevada permit. Be To make, alter and rescind the By-laws of the corporation and fix the amount to be reserved as the working Capital; to fix the time of the declaration and yvayment of dividends; to authorize and cause to be executed mortgages and leases upon real and personal vroperty of the corporation, vrovided always that a majority of the Board concur therein. Be To sell, assiga, transfer or otherwise dispose of the property of this corporation, as an entirety, as the laws of the State of Nevada pvrescribe. 4 To degignate by resolution passed by a majority of the whole board, under suitable provisions of the By-laws, two or more of their number directed to constitute an Rxeoutive Committee, a majority of which committee shall have and exercise all of the powers of the Board of Directors which may be legally delegated in the management of the affairs of the company in accordance with the laws of the Stete af Nevada,.
