SAVINGS AND LOAN ASSOCIATION OF THE NORTH ("IMPERIAL S&L"), a California savings and loan association, and COLUMBUS SAVINGS AND LOAN ASSOCIATION ("COLUMBUS"), a California savings and loan association. RECITALS : A. Imperial Corporation of America ("Imperial"), a California corporation, owns) allot the outstanding shares of Guarantee Stock of IMPERIAL S&L. B. Concurrently with execution of this Agreement, a Plan of Reorganization and Agreement is being executed by COLUMBUS, IMPERIAL S&L and eet al pursvant to which Imperial agrees to provide shares of Common Stock of Imperial and cash in lieu of fractional shares to IMPERIAL S&L for delivery to stockholders of COLUMBUS in accordance with Section 4 of this Agreement.
