FIRST: The name of this corporation is: JAY C. GORE, M.D.,
A PROFESSIONAL CORPORATION.
SECOND : The corporation's purposes are:
(a) Primarily to engage in the specific business of the
practice of medicine as a medical corporation.
(b) To engage generally in the business of a medical
corporation as the same is now or hereafter defined by statute,
rule and regulation, and in connection therewith to own property,
to enter into contracts, and to transact any lawful business related
thereto;
(c) To engage in any business related or unrelated to
those described in paragraphs (a) and (b) of this Second Article
and from time to time authorized or approved by the Director of
this corporation;
(d) To act as partner or joint venturer or in any other
legal capacity in any transaction;
(e) To do business anywhere in the world;
(£) To have and exercise any and all rights and powers
