SEVEN: Each holder of common shares of this corporation shall '
be entitled to full preemptive or preferential rights, as these
mGhite are defined by law, to subscribe for or purchase his
proportional part of any common shares that may be issued at
any time by this corporation. This article can be amended only
by the vote or written consent of the holders of seventy-five
per cent (75%) of the outstanding common shares.
EIGHT: This corporation elects,for the purposes of treating
or determining any lossess on its stock as a Small Business
Corporation, to have applied to it the terms of Section 1244
of the United States Internal Revenue Code and as therein
defined.
