CERTIFICATE I, H. Russell Howland, the Secretary of General American Development Corporation, a California corporation, one of the corporations described in and a party to the foregoing Agreement of Merger, hereby certify as such Secretary and under the seal of said corporation: that the Agreement of Merger to which this Certificate is attached was duly adopted as the agreement of the Corporation by its Board of Directors on the 1lth day of August, 1969; that said Agreement of Merger was duly approved by the written consent of all shareholders of General American Development Corporation in accordance with Section 2239 cf the California Corporations Code and thereby said Agreement was duly adopted as the act of the shareholders and as the duly adopted agreement of that corporation.
