Directors, by resolution of that. Board or by consent of all its members.
Tenth: The Board of Directors shall further have power to keep the books of
the corporation, excent the original or duplicate stock ledger, outside the
State of Delaware, at such place or places as it may from time to time de—
termine, subject to such restrictions and regulations, if any, as may be con-—
tained in any By-Laws made and adopted at any time by the stockholders. In
addition to-the powers and authority hereinbefore or by statute -expressly
conferred upon them, the Board of Directors is empowered to exercise all such
powers and to do all such acts and things as may be exercised or done by the
Corporation, subject, however, to the provisions of the Statutes of the State
of Delaware, of this Certificate of Incorporation, and to any By-Laws from
time to time made by the stockholders.
Eleventh: Subject to the provisions of this Certificate of Incorporation,
the corporation reserves the right to amend, alter, change or repeal any pro—
vision contained herein, in the manner now or hereafter prescribed by the
statutes of the State of Delaware.
IN WITNESS WHEREOF, we, the snaowareteee being each of the original
subscribers to the capital stock hereinbefore mentioned, do certify that the
facts hereinbefore stated are true and do respectively: agree to take the num.
ber of shares of stock, hereinbefore set forth opposite our respective names,
and we have accordingly hereunto set our respective hands and seals, this
24th day of April, 1926.
