KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned, have this day voluntarily associated
ourselves together for the purpose of forming a corporation under the laws
of the State of California,
FIRST: The name of the corporation is:
GOLD COUNTRY LAND SALES, INC,
SECOND: The corporation's purposes are:
(a) Primarily to engage in the specific business of conducting
a general real estate agency and brokerage business;
(b) Generally to act as agent, broker or attorney in fact for
any person or corporation ia buying, selling and dealing in real estate and
real property, or any interests therein, on commission; to rent, supervise
or manage any and all types of real property; to obtain loans upon real
property; to acquire, complete or dispose of contracts or agreements relating
to or connected with the acquiring, buying, selling, leasing, letting, disposing
of, or mortgaging of real estate or buildings and improvements in connection
therewith; and to carry on any other lawful trade or business incident to,
proper or useful in connection with the purchase, sale, ownership, construction, maintenance and management of real property;
(c) To engage in any business related or unrelated to those
described in clauses (a) and (b) of this Article SECOND and from time to time
authorized or approved by the Board of Directors of this corporation;
{d) To act as partner or joint venturer or in any other legal
capacity in any transaction;
(e) To do business anywhere in the world; and
{f) To have and exercise all rights and powers from time to
time granted to a corporation by law.
The above purpose clauses shall not be limited by reference to or
inference from one another, but each purpose clause shall be construed as
a separate statement, conferring independent purposes and powers upon the
corporation,.
