WRITTEN CONSENT OF SHAREHOLDERS OF
GRASS VALLEY BOU Y MINES COMPAN
TO DISSOLUTION
WHEREAS, the GRASS VALLEY BOUNDARY MINES COMPANY has
sold and disposed of all its properties, and its only known
assets now consist of cash in bank, representing the proceeds
of the sale of its properties; and
WHEREAS, the undersigned stockholder of said corporation believes it unwise for it to purchase or acquire other
properties with which to continue its business of mining or
for it to invest its funds in other mining enterprises and,
instead, deems it advisable and for the best interests of said
corporation and its stockholders that said corporation discontinue its business, wind up its affairs and voluntarily
dissolve and distribute its assets among its shareholders,
according to their respective rights and interests!
NOW, THEREFORE, the undersigned shareholder of said
corporation does hereby consent and elect to terminate and
discontinue the business of said corporation, wind up its
affairs and voluntarily to dissolve said corporation, and does
further authorize and direct the President and Secretary and
such other officers of said corporation as may be required,
and its board,of directors, in its name, and/or on its behalf,
to do and perform such acts and take such further action and
to execute and deliver such writings, including any certificates
or notices required by law, as may be necessary or proper in
order to terminate and discontinue the business, wind up the
affairs of and dissolve said corporation and to distribute the
assets of said corporation among its shareholders, according to
their respective rights and interests.
IN WITNESS WHEREOF, the undersigned shareholder of
Grass Valley Boundary Mines Company has hereunto signed his
name and set after his signature the date of signing and the
number of shares of said corporation held by him, of record on
said date entitled to vote upon the question of whether or not
to discontinue the business, wind up the affairs and voluntarily
dissolve said corporation.
