FIFTH.. The names and places of residence of each of the original subscribers to the capital stock and the number of shares subscribed for by each are as follows: NAME. RESIDENCE. NUMBER OF SHARES. Me Le Rogers Wilmington, Delaware 800 Le A. Irwin Wilmington, Delaware 100 M. A. Desmona . Wilmington, Delaware 100 SIXTH. The Corporation is to have perpetual existence, SEVENTH. The private property of the stockholders and directors of the Corporation shall not be subject to the payment of corporate debts to any extent whatevere EIGHTH. The number of Directors which shall constitute the whole Board shall be such as fram time to time shall be fixed by, or in the manrwr provided in, the By-Laws, but in no case shall the number be less than three. Directors need not be stockholders. Any director or any officer elected or appointed by the stockholders or by the Board of Directors may, if the By-Laws so provide, be removed at any time with or without cause, in such manner as shall be provided in the By-Lawse NINTH. The signers of the Certificate of Incorporation, being all the incorporators, shall have the direction of the affairs and of the organization of the Corporation, and may hold meeting or meetings in person or by proxy, und at such meeting or meetings elect Directors and take such steps as are proper to obtain the necessary subscriptions to the stock and to perfect the organization of the corporation.
