KNOW ALL MEN BY THESE PRESENTS:
That we, the undersigned all of whom are citizens and
residents of the State of California, have this day voluntarily
associated ourselves together for the purpose of forming a corporation under the laws of the State of California and we do
hereby certify as follows:
FIRST: The name of said corporation (hereinafter
called the "corporation") is and shall be:
HOMEWOOD INVESTMENT COMPANY
SECOND: The purposes for which the corporation is formed
are as follows:
A. The primary business in which the corporation
is intended to engage is that of acquiring, subdividing, developing,
improving, selling and otherwise dealing in and with real property.
B. The general purposes for which the corporation is
formed, and the general powers of the corporation, are as follows:
(1) To engage in any one or more businesses or
transactions which the Board of Directors of this corporation may
from time to time authorize and approve, either related or unrelated
to the business described in A. above, or to any other business
then or theretofore done by this corporation;
(2) To exercise any and all rights and powers
~which a corporation may now or hereafter exercise; .
(3) To act as principal, agent, joint venturer,
partner, or in any other capacity which may be authorized or
approved by the Board of Directors of this corporation; and
(4) To transact business in the State of
California or in any other jurisdiction of the United States of
America, or elsewhere in this world.
